1. Introduction and Acceptance

These Terms of Use ("Terms") govern your access to and use of the EQVI service ("EQVI," "we," "us," or "our"), an AI-powered lifestyle personalisation layer embedded within partner banking applications, offering recommendations across nutrition, fashion, travel, and other lifestyle domains.

By accessing or using EQVI, whether directly or through a partner bank's application, you agree to be bound by these Terms. If you do not agree, you should not use the service.

These Terms should be read alongside our Privacy Policy, which explains how we collect, use, and protect your personal data, and any additional terms presented to you by the partner bank through which you access EQVI.

2. Who We Are

EQVI LTD is registered in England and Wales (Companies House number 14060750), with its registered office at 167-169 Great Portland Street, Fifth Floor, London, W1W 5PF, United Kingdom.

EQVI is typically made available to you through a partner bank's application under an arrangement between EQVI and that bank. Your relationship with the partner bank (including your banking account and any terms governing it) is separate from, and not affected by, these Terms.

3. The Service

EQVI provides personalised lifestyle recommendations generated using automated systems, including artificial intelligence, based on preferences, goals, and feedback you choose to share, and, where authorised, signals shared by your partner bank.

The specific features available to you (for example wardrobe styling, nutrition suggestions, travel recommendations, or merchant checkout) depend on which features your partner bank has enabled and which features you choose to activate.

EQVI does not provide financial, medical, legal, or professional advice of any kind. Recommendations are provided for general lifestyle purposes only and should not be relied upon as a substitute for professional advice.

4. Eligibility

EQVI is not directed at children, and it is not intended for use by individuals under 18. Where EQVI is provided through a partner bank, your eligibility to access the service — including any minimum age requirement, residency requirement, or account status requirement — is determined by that partner bank's own terms and account eligibility checks.

5. Your Account and Access

Where EQVI is accessed through a partner bank's application, your access is linked to your banking account and authenticated through the partner bank. You are responsible for maintaining the confidentiality of your banking credentials in accordance with your agreement with the partner bank.

You agree to provide accurate information when using EQVI and to update it as necessary. You are responsible for all activity that occurs through your access to EQVI, except to the extent caused by our fault.

6. Acceptable Use

When using EQVI, you agree not to:

1. use the service for any unlawful purpose, or in a way that infringes the rights of others;

2. attempt to gain unauthorised access to EQVI, its systems, or data belonging to other users;

3. interfere with or disrupt the operation of EQVI or the servers or networks used to make it available;

4. use automated means (bots, scrapers, or similar) to access or extract data from EQVI without our prior written consent;

5. reverse engineer, decompile, or attempt to extract the underlying models, algorithms, or source code used by EQVI, except to the extent such restriction is not permitted by applicable law;

6. submit content that is unlawful, defamatory, abusive, or that violates the rights of a third party;

7. misrepresent your identity or impersonate another person when using the service.

We may suspend or restrict your access to EQVI, in whole or in part, where we reasonably believe you have breached these Terms, subject to Section 12.

6a. AI-Generated Recommendations

Recommendations, styling suggestions, and similar content generated by EQVI are produced using automated systems, including artificial intelligence, and are provided for general informational and lifestyle purposes only. While we aim for recommendations to be relevant and useful, we do not guarantee their accuracy, completeness, or suitability for your particular circumstances, and you should exercise your own judgement before acting on them.

EQVI does not use recommendations to make, and does not make, any automated decision that determines your eligibility for credit, insurance, banking services, or other products with a legal or similarly significant effect on you. Decisions of that kind remain with your partner bank or the relevant provider.

You can provide feedback on recommendations and choose not to act on any recommendation at any time.

7. Merchant Purchases and Third-Party Services

Where EQVI enables you to complete a purchase through a merchant partner (for example, grocery or retail fulfilment), that purchase is a transaction between you and the merchant. The merchant is responsible for the products or services provided, and EQVI is not a party to that transaction.

EQVI may receive attribution or commission in connection with purchases completed through the service, as described in our Privacy Policy. This does not affect the price you pay.

EQVI may link to or integrate with third-party services (including merchant websites and payment processors). We are not responsible for the content, accuracy, or practices of third-party services, and your use of them is governed by their own terms.

8. Intellectual Property

EQVI, including its software, design, trademarks, and underlying technology, is owned by or licensed to EQVI LTD and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in EQVI's intellectual property, other than the limited right to access and use the service as intended.

Where you submit content to EQVI (for example, wardrobe photographs, preferences, or feedback), you retain ownership of that content. You grant EQVI a licence to use that content solely to provide and improve the service, in accordance with our Privacy Policy.

9. Data Protection and Privacy

Our collection and use of your personal data is described in our Privacy Policy, which forms part of these Terms by reference. By using EQVI, you acknowledge that your data will be processed as described there.

10. Availability and Changes to the Service

We aim to keep EQVI available and functioning correctly, but we do not guarantee uninterrupted or error-free operation. We may suspend, withdraw, or restrict availability of all or part of the service for maintenance, security, legal, or operational reasons, including at the request of a partner bank.

We may add, modify, or remove features of EQVI from time to time. Where a change materially reduces the functionality available to you, we will use reasonable efforts to notify you or the partner bank in advance where practicable.

11. Third-Party AI Providers

EQVI may use third-party AI providers to help generate recommendations and process conversational content, as described in our Privacy Policy. Those providers are bound by contractual confidentiality and data protection obligations.

12. Suspension and Termination

You may stop using EQVI at any time. Where EQVI is accessed through a partner bank, ceasing to use or closing your banking account with that bank may also end your access to EQVI.

We may suspend or terminate your access to EQVI, in whole or in part, if you breach these Terms, if required to do so by a partner bank or by law, or if we reasonably believe it is necessary to protect the security or integrity of the service or its users. Where practicable, we will provide notice before doing so.

Sections of these Terms which by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will continue to apply.

13. Disclaimers

EQVI is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we exclude all warranties, express or implied, regarding the service, including as to accuracy, reliability, fitness for a particular purpose, or non-infringement, save that nothing in these Terms excludes or limits any warranty, right, or liability that cannot lawfully be excluded or limited.

14. Limitation of Liability

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under applicable law.

Subject to the above, to the fullest extent permitted by law, EQVI LTD shall not be liable for any indirect, incidental, or consequential loss, or for loss of profits, revenue, data, or business opportunity, arising out of or in connection with your use of EQVI.

Our total liability to you arising out of or in connection with these Terms and your use of EQVI, whether in contract, tort, or otherwise, shall not exceed the greater of (a) the amount, if any, paid by you to EQVI in the twelve months preceding the event giving rise to the claim, and (b) [amount to be confirmed].

15. Indemnity

You agree to indemnify and hold EQVI LTD harmless against any claims, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of the service, except to the extent caused by our fault.

16. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, the service, or legal requirements. Material changes will be communicated in-app or by the partner bank before they take effect. The "Effective date" at the top of this document reflects the latest revision. Continued use of EQVI after changes take effect constitutes acceptance of the updated Terms.

17. Governing Law and Jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims), are governed by the laws of England and Wales.

The courts of England and Wales shall have non-exclusive jurisdiction over any dispute or claim arising out of or in connection with these Terms, without prejudice to any statutory right you may have to bring proceedings in your country of residence.

18. Severability and Entire Agreement

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and EQVI LTD regarding your use of the service, save for any additional terms presented by a partner bank.
